These Terms of Service (the "Terms") are a binding agreement between you ("User" or "Player") and the individual, unincorporated developer who built and operates the NI-KA game interface (the "Developer"). The Developer is a single private individual — not a corporation, LLC, partnership, DAO, foundation, or any other legal entity — operating globally via the internet with no fixed office or registered address in any jurisdiction.
1.1 Solo Individual Developer. The Platform is designed, built, hosted, and maintained exclusively by one private individual. There is no company, corporation, LLC, foundation, DAO wrapper, or any other legal entity behind NI-KA.
1.2 Interface Only. The Platform operates as a client-side interface that allows you to interact with the Solana blockchain. Smart contract interactions are executed autonomously on-chain and are user-initiated. The Developer does not act as a broker, exchange, financial institution, or intermediary for any of these transactions.
1.3 No Custody of Funds. The Developer does not take custody of your tokens, SOL, or any other digital assets at any time. In-game deposit addresses are derived deterministically and their private keys are never exposed to the client.
1.4 Permissionless Access. Access to the Platform is open and permissionless. The Developer makes no promise of continued availability and may discontinue, modify, or restrict the interface at any time without notice.
2.1 Age. By using the Platform, you represent that you are at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is higher.
2.2 Your Jurisdictional Responsibility. You are solely and exclusively responsible for determining whether your use of the Platform — including participation in any game modes, token interactions, or prize pools — is lawful in your country, state, province, or territory.
2.3 Self-Exclusion. If the laws of your jurisdiction prohibit or restrict online gaming, token-based games, skill-based competitions with prizes, or interactions with blockchain-based assets, you must not access or use the Platform.
2.4 Technical Restrictions. The Developer may implement geo-fencing or IP-based access restrictions at their sole discretion to limit access in jurisdictions where continued operation poses legal or technical risk.
Performance in Grind Modes rewards players with off-chain Galaxy Coins ("G") — an in-game utility currency.
Real-time peer-to-peer multiplayer via WebRTC. Matchmaking is brokered through Firestore to establish direct peer-to-peer connections. Outcomes are determined entirely by player skill.
A free-to-play daily mode (one run per day) where players can harvest $NI-KA tokens based on in-run performance. Earnings are capped at the equivalent of 0.002 SOL worth of $NI-KA per run. No entry fee required.
A weekly skill-based competitive tournament where the track is generated dynamically from $NI-KA token price chart data. Requires a dynamic entry fee in $NI-KA tokens (~0.001 SOL equivalent). 95% of collected entry fees are pooled into the weekly prize pool; 5% is permanently burned on-chain. Prize distribution: 1st — 60%, 2nd — 25%, 3rd — 15%.
Skill-based token harvesting modes:
Access requires one of: (a) paying a per-run entry fee in $NI-KA, (b) holding ≥ $15.00 USD in $NI-KA in your in-game wallet, or (c) holding an active 30-day Subscription Pass.
Players may buy and sell in-game blueprints, materials, and boosters directly using $NI-KA tokens. Rare, Epic, and Legendary listings carry a 1% listing fee (deducted in $NI-KA from the seller's deposit wallet on successful listing).
4.1 Nature. Galaxy Coins are a purely off-chain, in-game utility token with no monetary value. They are earned exclusively through gameplay at no cost to the player.
4.2 Zero Market Value. G Coins have a fair market value of $0.00 USD. They are not purchasable with fiat currency, carry no real-world value, and cannot be redeemed, sold, traded, or exchanged externally.
4.3 Usage. G Coins are used solely within the Game to purchase temporary in-game boosters, speed upgrades, and skin rentals from the in-game shop.
4.4 Token Burn Conversion. Users may burn $NI-KA tokens on-chain via the server function. Upon successful burn, G Coins are credited at a 1.5x bonus rate. This burn is permanent and irreversible.
4.5 Voluntary SOL Support. Players may optionally send SOL tips to the Developer's treasury wallet as a voluntary support donation. These are one-way gifts with no expectation of return.
By interacting with any Web3 feature of the Platform, you explicitly acknowledge and accept all of the following risks.
5.1 Volatility. Solana (SOL) and $NI-KA tokens are highly volatile digital assets. The Developer bears no responsibility for changes in market value.
5.2 Irreversibility. All blockchain transactions are final, public, and permanent. Once submitted to the Solana network, they cannot be cancelled, reversed, or refunded.
5.3 Your Wallet Security. You are solely responsible for the security of your personal wallets, private keys, and seed phrases. The Developer never requests or has access to your private keys.
5.4 Network Risks. The Developer is not responsible for network congestion, outages, hard forks, failed transactions, delayed confirmations, or transaction fee spikes.
5.5 Smart Contract Risks. You accept all risks associated with smart contract execution, including potential bugs, exploits, or protocol changes beyond the Developer's control.
5.6 No Investment. $NI-KA tokens and any in-game digital assets are not investments, securities, or financial instruments of any kind. Do not acquire $NI-KA tokens with the expectation of profit.
The Developer maintains a strict zero-tolerance policy on cheating to protect honest players.
7.1 "As-Is" Basis. The Platform is provided "AS-IS" and "AS-AVAILABLE" with no warranties of any kind. The Developer does not warrant that the Platform will be uninterrupted, error-free, or secure.
7.2 Solo Developer Acknowledgment. You acknowledge this is an indie project maintained by one individual. There are no SLAs, no guaranteed uptime, and no immediate bug-fix commitments.
7.3 Maximum Liability. To the fullest extent permitted by applicable law, the Developer's total liability shall not exceed the amount of any direct entry fees you paid in the thirty (30) days preceding the claim.
7.4 Force Majeure. The Developer is not liable for delays or failures caused by circumstances beyond reasonable control, including blockchain outages, natural disasters, internet infrastructure failures, or regulatory actions.
8.1 No Formal Jurisdiction Claimed. Because the Developer is an unincorporated individual with no registered legal entity, no specific national law is claimed as the governing law of these Terms.
8.2 Good-Faith Resolution. Before initiating any legal action, you agree to contact the Developer through the official NI-KA community channels and make a genuine, good-faith effort to resolve the dispute informally for a period of not less than thirty (30) days.
8.3 No Class Actions. Any dispute must be brought in your individual capacity only. You waive any right to participate in a class-action or representative proceeding against the Developer.
8.4 Your Local Courts. If informal resolution fails, either party may pursue their legal remedies in courts of competent jurisdiction where you, the User, reside.
9.1 Modifications. The Developer may update these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
9.2 Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force.
9.3 Entire Agreement. These Terms and the Privacy Policy together constitute the complete agreement between you and the Developer regarding the Platform.
9.4 No Waiver. Failure by the Developer to enforce any provision of these Terms does not constitute a waiver of the right to enforce it in the future.
